Ocean Youth Academy Terms and Conditions

1. Introduction
Welcome to the Ocean Youth Academy website ("Website"), owned and operated by Ocean Youth Academy, a U.S.-based 501(c)(3) nonprofit organization ("OYA," "we," "us," or "our"). By accessing, using, registering with, visiting, viewing, or interacting with this Website or its content, you explicitly agree to be irrevocably bound by the following Terms and Conditions ("Agreement"). 2. Background
(A) OYA provides access to educational materials, services, products, and other resources focused on ocean education for children ("Services").

3. Definitions
(a) "You," "Your," or "User" refers to any individual, school, organization, or entity accessing OYA’s Services, including:
A registered school or educational institution; or

(c) "Confidential Information" refers to all proprietary, business, and personal information disclosed under this Agreement.

4. The Services
4.1 OYA provides educational resources through online platforms and may offer physical materials, interactive content, courses, and virtual or in-person learning experiences.
4.2 Users may be permitted to upload and share content, subject to OYA’s approval, and such content must adhere to these Terms and Conditions.
4.3 By using the Services, you agree to all governing policies, including OYA’s Acceptable Use Policy and Privacy Policy. OYA reserves the right to update these terms at any time, with notice provided via the Website or email.
5. User Responsibilities
5.1 You are responsible for the appropriate use of OYA’s educational materials in accordance with these Terms.

You agree to indemnify and hold harmless OYA from any claims, losses, or damages arising from: (a) Your breach of this Agreement; (b) Any wrongful or negligent act or omission on your part; or (c) Your use of the Services in a manner inconsistent with this Agreement.
7. Limitation of Liability
7.1 OYA’s liability for any loss, claim, or damages arising from this Agreement is limited to the fees paid by you to OYA in the preceding 12-month period, if applicable.
7.2 OYA is not liable for indirect, incidental, or consequential damages.
8. Intellectual Property
8.1 All intellectual property rights related to OYA’s Services, including course materials, designs, trademarks, and content, remain the sole property of OYA.
8.2 Users may not reproduce, distribute, modify, or exploit OYA’s intellectual property without prior written consent.
9. Termination
9.1 OYA may terminate this Agreement at any time without prior notice.
9.2 If you breach this Agreement, OYA may immediately terminate your access to the Services.
10. Confidentiality
10.1 Users must maintain the confidentiality of any proprietary or sensitive information disclosed by OYA.
10.2 Confidential information must not be disclosed to third parties without OYA’s express written consent.
11. Publicity and Promotion
11.1 OYA may promote learning activities, work produced, or achievements related to its educational programs through various media.
11.2 Users may not use OYA’s branding, logos, or trademarks for promotional purposes without written approval.
12. Governing Law
This Agreement shall be governed by the laws of the United States and the applicable jurisdiction of OYA’s principal place of operation.
13. Acceptable Use Policy
13.1 Users must not use the Services for any unlawful, fraudulent, or harmful activities.
13.2 Users may not upload or share content that is defamatory, offensive, discriminatory, or violates any laws.
13.3 OYA reserves the right to remove any content that violates this policy.
14. Amendments
OYA reserves the right to modify this Agreement at any time. Changes will take effect upon notification through the Website or email. Continued use of the Services constitutes acceptance of the updated Terms.
